One of our recent cases involved two investors who wanted to purchase an existing business in Dubai. They hired us to review the business and minimise potential legal risks. One of our key findings came after requesting labour records and work permits issued over the previous two years. Fortunately, we discovered that five employees had been terminated six months earlier and were still awaiting their final settlements. Although management had promised them a payment timeline, the obligations remained outstanding.

After calculating the labour claims, the company’s potential liability amounted to AED 1,290,000. This was a significant financial risk.

The main issue was that the business operated as a Limited Liability Company (LLC). Any claims would be made against the company, regardless of any change in ownership.

As a result, the investors decided not to proceed with the acquisition due to these undisclosed liabilities and the resulting lack of trust.

Partnership Disputes: Prevention Is Better Than Litigation

Another case involved three individuals who established a company in Dubai. During the first year, the business experienced strong financial growth under the management of one partner and a manager.

Over the following two years, however, business growth slowed and sales stopped increasing. Tension developed because the manager was unwilling to delegate some of his responsibilities to another appointed manager. Eventually, the disagreement escalated to the point where court intervention became necessary.

The solution was actually very simple. The parties needed a comprehensive partnership agreement and clear discussions regarding each important aspect of the business relationship. Had these matters been agreed upon from the beginning, the dispute could likely have been avoided.
